Foreign companies entering India can legally operate through only three corporate structures recognised under India’s foreign exchange law — the Foreign Exchange Management Act, 1999, commonly referred to as FEMA. These are the Private Limited Company, the Public Limited Company, and the Limited Liability Partnership (LLP). Each carries a different compliance load, tax rate, and ownership structure, and the right choice depends on your investment size, exit plans, and how much board control you want to retain. This guide compares all three so you can pick the structure that actually fits your India entry strategy — not just the one that is cheapest to set up.

Quick answer

For most foreign investors, company registration in India for foreign companies through a Private Limited Company is the most practical route — it needs only 2 directors and 2 shareholders, one resident director, and is taxed at 25% where turnover stays under ₹400 crore. Company registration in India for foreign companies through the Private Limited structure accounts for around 96% of new foreign-owned entity registrations. LLPs suit low-compliance service ventures but are taxed at a flat 30%. Public Companies suit capital-heavy businesses planning an IPO or stock-exchange listing.

The Three FEMA-Permitted Entity Structures

Company registration in India for foreign companies under Indian foreign exchange law is restricted to three structures: a Private Limited Company, a Public Limited Company, or an LLP. No other structure — branch offices and liaison offices aside — gives a foreign investor direct equity ownership in an Indian business. The table below compares them on the points that matter most at the setup stage.

Private Limited Company: the Default Choice for Foreign Investors

A Private Limited Company is a separate legal entity registered with the Ministry of Corporate Affairs (MCA) through the Registrar of Companies (ROC) under the Companies Act, 2013. It is by far the most preferred route for company registration in India for foreign companies — roughly 96% of newly registered foreign-owned companies choose this structure. The appeal comes down to three things: limited liability protection, lighter compliance than a Public Company, and access to exemptions available to entities meeting the “Small Company” definition under the Act. Setup needs only 2 directors and 2 shareholders (which can be the same individuals or corporate entities), one registered Indian office address, and one director who has been resident in India for at least 182 days in a calendar year. Profits are taxed at 25% where turnover in the relevant prior year does not exceed ₹400 crore.

Public Limited Company: Built for Scale

For company registration in India for foreign companies planning a larger board, a wider shareholder base, or an eventual IPO, the Public Limited Company is the relevant structure, It follows the same Companies Act, 2013 framework and the same 25% tax rate as a Private Limited Company, but with a heavier compliance calendar — more directors, more shareholders, and additional disclosure once listed. Minimum setup requires 3 directors and 7 shareholders, one registered Indian office, and one resident director meeting the same 182-day test.

LLP: Why Most Foreign Investors Skip It

As a route for company registration in India for foreign companies, an LLP is registered with the Registrar of LLPs under the LLP Act, 2008, and functions more like a partnership than a company — there is no share capital, and ownership sits with designated partners rather than shareholders. The structure needs only 2 designated partners, one registered office, and one partner resident in India for at least 182 days in a calendar year. Its drawback for foreign investors is tax: LLP income is taxed at a flat 30%, five percentage points higher than the company rate, with no equivalent to the concessional company regimes. FDI into an LLP is also permitted only in sectors open to 100% automatic-route investment with no FDI-linked performance conditions, which narrows its use for most inbound structures.

Which Structure Should You Register?

As a general rule: choose a Private Limited Company for a standard wholly-owned subsidiary or joint venture — it is the fastest to set up and the lightest on compliance. Choose a Public Company only if you are already planning a large capital raise, a wide shareholder base, or a future listing. Choose an LLP only for a low-capital, purely service-based venture in a sector with unconditional 100% automatic-route FDI, where the simpler governance outweighs the higher tax rate.

2026 Compliance Note

The Income-tax Act, 2025 takes effect from FY 2026-27, replacing the Income-tax Act, 1961. It carries forward the same 25% company tax structure and the 30% flat LLP rate described above — the changes are largely in section numbering and drafting, not in the rates or thresholds that affect entity choice.

Frequently Asked Questions

1.Can a foreign company set up a 100% owned subsidiary in India?

Yes. Most sectors permit up to 100% FDI through the automatic route under the FEMA (Non-Debt Instrument) Rules, 2019, allowing a foreign parent to hold the entire share capital of an Indian Private Limited Company as a wholly-owned subsidiary.

2. Is there a minimum capital requirement for a Private Limited Company in India?

No. The Companies Act, 2013 does not prescribe a minimum paid-up capital for a Private Limited Company — capital can be set based on actual business and working-capital needs.

3. Can foreign investment come into an LLP?

Yes, but only into LLPs operating in sectors that permit 100% FDI under the automatic route with no FDI-linked performance conditions, and subject to LLP Act, 2008 compliance.

4. How long does it take to register a Private Limited Company in India?

Company registration in India for foreign companies through the SPICe+ integrated portal typically takes 10–15 working days from submission of complete documents, including name approval, DIN, PAN, TAN and Certificate of Incorporation.

5. Do all three structures require a resident director or partner?

Yes. The Companies Act, 2013 and LLP Act, 2008 both require at least one director or designated partner to have stayed in India for a total of not less than 182 days during the calendar year.
